DEFINITIONS<\/h2>\r\n\r\n<p>For the purposes of these Terms:<\/p>\r\n\r\n<ul>\r\n<li><strong>\u201cAgreement\u201d<\/strong> means these Terms together with any quotation, proposal, invoice, scope document, or written communication relating to the services.<\/li>\r\n\r\n<li><strong>\u201cServices\u201d<\/strong> means any service supplied by Temzify, including but not limited to web design, website development, SEO, branding, digital marketing, social media management, graphic design, consulting, maintenance, or related services.<\/li>\r\n\r\n<li><strong>\u201cDeliverables\u201d<\/strong> means the final approved work product supplied to the Client.<\/li>\r\n\r\n<li><strong>\u201cProject\u201d<\/strong> means the specific work agreed between Temzify and the Client.<\/li>\r\n\r\n<li><strong>\u201cContent\u201d<\/strong> means all text, images, logos, videos, data, product information, and materials supplied by the Client.<\/li>\r\n<\/ul>\r\n\r\n<h2>2. APPLICATION OF TERMS<\/h2>\r\n\r\n<p><strong>2.1<\/strong> These Terms apply to all Services supplied by Temzify unless expressly varied in writing.<\/p>\r\n\r\n<p><strong>2.2<\/strong> Any conflicting terms proposed by the Client shall not apply unless expressly accepted by Temzify in writing.<\/p>\r\n\r\n<p><strong>2.3<\/strong> Temzify reserves the right to amend these Terms at any time. Updated Terms shall apply to all future projects and services from the date of publication.<\/p>\r\n\r\n<h2>3. SERVICES<\/h2>\r\n\r\n<p><strong>3.1<\/strong> Temzify shall provide the Services with reasonable care, skill, and professional diligence.<\/p>\r\n\r\n<p><strong>3.2<\/strong> The precise scope of Services shall be defined in the applicable quotation, proposal, invoice, or written agreement issued by Temzify.<\/p>\r\n\r\n<p><strong>3.3<\/strong> Any work requested outside the agreed scope shall constitute additional work and may incur additional charges.<\/p>\r\n\r\n<p><strong>3.4<\/strong> Temzify reserves the right to refuse any project, request, or instruction that is unlawful, unethical, misleading, defamatory, infringing, or otherwise inappropriate.<\/p>\r\n\r\n<h2>4. CLIENT OBLIGATIONS<\/h2>\r\n\r\n<p><strong>4.1<\/strong> The Client shall:<\/p>\r\n\r\n<ul>\r\n<li>Provide all necessary information, approvals, and Content required for the Project;<\/li>\r\n<li>Ensure all supplied Content is accurate, lawful, and owned or licensed by the Client;<\/li>\r\n<li>Respond to communications and approval requests within reasonable timeframes;<\/li>\r\n<li>Cooperate with Temzify to enable timely completion of the Project.<\/li>\r\n<\/ul>\r\n\r\n<p><strong>4.2<\/strong> The Client acknowledges that delays in supplying Content, approvals, or instructions may result in delays to the Project timeline.<\/p>\r\n\r\n<p><strong>4.3<\/strong> Temzify shall not be liable for any delays, costs, or losses arising from the Client\u2019s failure to comply with this clause.<\/p>\r\n\r\n<h2>5. QUOTATIONS AND ACCEPTANCE<\/h2>\r\n\r\n<p><strong>5.1<\/strong> All quotations issued by Temzify are valid for the period stated in the quotation or, if no period is stated, for fourteen (14) days from the date of issue.<\/p>\r\n\r\n<p><strong>5.2<\/strong> A Project shall be deemed accepted upon:<\/p>\r\n\r\n<ul>\r\n<li>Written approval by the Client;<\/li>\r\n<li>Payment of any deposit or invoice; or<\/li>\r\n<li>Instruction by the Client for Temzify to commence work.<\/li>\r\n<\/ul>\r\n\r\n<p><strong>5.3<\/strong> Once accepted, the Agreement shall become legally binding.<\/p>\r\n\r\n<h2>6. FEES AND PAYMENT<\/h2>\r\n\r\n<p><strong>6.1<\/strong> A minimum non-refundable deposit of fifty percent (50%) of the total project fee shall be payable before work commences unless otherwise agreed in writing.<\/p>\r\n\r\n<p><strong>6.2<\/strong> Temzify shall not commence any work until cleared funds have been received.<\/p>\r\n\r\n<p><strong>6.3<\/strong> The remaining balance shall be payable in accordance with the payment schedule stated in the quotation or invoice.<\/p>\r\n\r\n<p><strong>6.4<\/strong> Temzify reserves the right to suspend Services, withhold Deliverables, suspend website access, or pause the Project in the event of late or non-payment.<\/p>\r\n\r\n<p><strong>6.5<\/strong> All invoices are payable by the due date stated on the invoice.<\/p>\r\n\r\n<p><strong>6.6<\/strong> Failure to make payment may result in:<\/p>\r\n\r\n<ul>\r\n<li>Suspension of work;<\/li>\r\n<li>Removal of website access;<\/li>\r\n<li>Delay in delivery;<\/li>\r\n<li>Legal recovery proceedings;<\/li>\r\n<li>Additional administrative or collection costs.<\/li>\r\n<\/ul>\r\n\r\n<p><strong>6.7<\/strong> The Client shall remain liable for all fees relating to work completed up to the date of suspension or termination.<\/p>\r\n\r\n<h2>7. REVISIONS AND CHANGES<\/h2>\r\n\r\n<p><strong>7.1<\/strong> Revision rounds shall be limited to the number specified in the applicable package, quotation, or proposal.<\/p>\r\n\r\n<p><strong>7.2<\/strong> Revisions are limited to reasonable amendments within the approved project scope and do not include complete redesigns, major structural changes, or new functionality.<\/p>\r\n\r\n<p><strong>7.3<\/strong> Additional revisions or changes outside the agreed scope shall be charged at Temzify\u2019s prevailing rates.<\/p>\r\n\r\n<p><strong>7.4<\/strong> Once any design, content, or Deliverable has been approved by the Client, further changes may incur additional fees.<\/p>\r\n\r\n<h2>8. PROJECT TIMELINES<\/h2>\r\n\r\n<p><strong>8.1<\/strong> Any estimated delivery date or timeline provided by Temzify is an estimate only and shall not constitute a contractual guarantee.<\/p>\r\n\r\n<p><strong>8.2<\/strong> Temzify shall not be liable for delays caused by:<\/p>\r\n\r\n<ul>\r\n<li>The Client;<\/li>\r\n<li>Third-party providers;<\/li>\r\n<li>Hosting companies;<\/li>\r\n<li>Domain registrars;<\/li>\r\n<li>Payment gateways;<\/li>\r\n<li>Plugin or software providers;<\/li>\r\n<li>Events beyond Temzify\u2019s reasonable control.<\/li>\r\n<\/ul>\r\n\r\n<p><strong>8.3<\/strong> If the Client becomes unresponsive for an extended period, Temzify reserves the right to reschedule the Project or place it on hold.<\/p>\r\n\r\n<h2>9. CONTENT AND CLIENT MATERIALS<\/h2>\r\n\r\n<p><strong>9.1<\/strong> The Client warrants that all Content supplied to Temzify:<\/p>\r\n\r\n<ul>\r\n<li>Is lawful;<\/li>\r\n<li>Does not infringe any intellectual property rights;<\/li>\r\n<li>Does not contain defamatory, offensive, fraudulent, or misleading material.<\/li>\r\n<\/ul>\r\n\r\n<p><strong>9.2<\/strong> The Client indemnifies and holds harmless Temzify against any claims, damages, liabilities, costs, or expenses arising from Content supplied by the Client.<\/p>\r\n\r\n<p><strong>9.3<\/strong> Temzify shall not be responsible for verifying the legality or accuracy of Client-supplied Content.<\/p>\r\n\r\n<h2>10. INTELLECTUAL PROPERTY<\/h2>\r\n\r\n<p><strong>10.1<\/strong> All intellectual property rights in preliminary work, concepts, drafts, mockups, source files, and working materials shall remain the property of Temzify unless otherwise agreed in writing.<\/p>\r\n\r\n<p><strong>10.2<\/strong> Ownership of the final approved Deliverables shall transfer to the Client only after full payment of all outstanding fees.<\/p>\r\n\r\n<p><strong>10.3<\/strong> Temzify retains the right to display completed work in its portfolio, marketing materials, presentations, social media, and promotional channels unless otherwise agreed in writing.<\/p>\r\n\r\n<p><strong>10.4<\/strong> Third-party software, plugins, themes, stock assets, fonts, or licensed materials remain subject to their respective licence terms and are not transferred unless expressly permitted.<\/p>\r\n\r\n<h2>11. WEBSITE HOSTING, DOMAINS, AND THIRD-PARTY SERVICES<\/h2>\r\n\r\n<p><strong>11.1<\/strong> Temzify may assist with hosting, domains, email services, plugins, integrations, or third-party platforms; however, such services may be provided by independent third parties.<\/p>\r\n\r\n<p><strong>11.2<\/strong> Temzify shall not be liable for:<\/p>\r\n\r\n<ul>\r\n<li>Third-party outages;<\/li>\r\n<li>Hosting failures;<\/li>\r\n<li>Security breaches;<\/li>\r\n<li>Service interruptions;<\/li>\r\n<li>Software incompatibility;<\/li>\r\n<li>Account suspensions;<\/li>\r\n<li>Pricing changes;<\/li>\r\n<li>Policy changes by third-party providers.<\/li>\r\n<\/ul>\r\n\r\n<p><strong>11.3<\/strong> The Client acknowledges that third-party services are governed by the terms and policies of the relevant provider.<\/p>\r\n\r\n<h2>12. SEO AND DIGITAL MARKETING<\/h2>\r\n\r\n<p><strong>12.1<\/strong> Temzify shall use reasonable skill and care when providing SEO and digital marketing services.<\/p>\r\n\r\n<p><strong>12.2<\/strong> The Client acknowledges that search rankings, website traffic, engagement, leads, conversions, and business performance are influenced by numerous factors outside Temzify\u2019s control.<\/p>\r\n\r\n<p><strong>12.3<\/strong> Accordingly, Temzify does not guarantee:<\/p>\r\n\r\n<ul>\r\n<li>Specific rankings;<\/li>\r\n<li>Increased revenue;<\/li>\r\n<li>Lead generation;<\/li>\r\n<li>Advertising performance;<\/li>\r\n<li>Website traffic;<\/li>\r\n<li>Social media growth;<\/li>\r\n<li>Business outcomes of any kind.<\/li>\r\n<\/ul>\r\n\r\n<h2>13. REFUNDS<\/h2>\r\n\r\n<p><strong>13.1<\/strong> All deposits are non-refundable.<\/p>\r\n\r\n<p><strong>13.2<\/strong> No refunds shall be issued once work has commenced.<\/p>\r\n\r\n<p><strong>13.3<\/strong> The Client shall not be entitled to a refund based on subjective dissatisfaction where Temzify has materially delivered the agreed Services.<\/p>\r\n\r\n<p><strong>13.4<\/strong> If the Client cancels a Project after commencement, the Client shall remain liable for payment for all work completed and expenses incurred up to the cancellation date.<\/p>\r\n\r\n<h2>14. WARRANTIES AND DISCLAIMERS<\/h2>\r\n\r\n<p><strong>14.1<\/strong> Temzify warrants that Services shall be performed with reasonable care and skill.<\/p>\r\n\r\n<p><strong>14.2<\/strong> Except as expressly stated in these Terms, all warranties, representations, and guarantees, whether express or implied by law, are excluded to the fullest extent permitted by law.<\/p>\r\n\r\n<p><strong>14.3<\/strong> Temzify does not warrant that:<\/p>\r\n\r\n<ul>\r\n<li>Any website will operate uninterrupted or error-free;<\/li>\r\n<li>Any website will be immune from hacking, malware, or cyberattack;<\/li>\r\n<li>Any Deliverable will achieve commercial success or specific performance outcomes.<\/li>\r\n<\/ul>\r\n\r\n<h2>15. LIMITATION OF LIABILITY<\/h2>\r\n\r\n<p><strong>15.1<\/strong> To the fullest extent permitted by law, Temzify shall not be liable for:<\/p>\r\n\r\n<ul>\r\n<li>Loss of profits;<\/li>\r\n<li>Loss of revenue;<\/li>\r\n<li>Loss of business;<\/li>\r\n<li>Loss of goodwill;<\/li>\r\n<li>Loss of opportunity;<\/li>\r\n<li>Loss of data;<\/li>\r\n<li>Indirect, consequential, incidental, or special damages.<\/li>\r\n<\/ul>\r\n\r\n<p><strong>15.2<\/strong> Temzify\u2019s total aggregate liability arising under or in connection with the Agreement shall not exceed the total amount paid by the Client for the relevant Services.<\/p>\r\n\r\n<p><strong>15.3<\/strong> Nothing in these Terms shall exclude liability where such exclusion is prohibited by applicable law.<\/p>\r\n\r\n<h2>16. CONFIDENTIALITY<\/h2>\r\n\r\n<p><strong>16.1<\/strong> Each party agrees to keep confidential any proprietary or confidential information disclosed during the Project.<\/p>\r\n\r\n<p><strong>16.2<\/strong> Confidential information shall not include information which:<\/p>\r\n\r\n<ul>\r\n<li>Is publicly available;<\/li>\r\n<li>Was already lawfully known;<\/li>\r\n<li>Is required to be disclosed by law.<\/li>\r\n<\/ul>\r\n\r\n<h2>17. TERMINATION<\/h2>\r\n\r\n<p><strong>17.1<\/strong> Either party may terminate the Agreement by written notice.<\/p>\r\n\r\n<p><strong>17.2<\/strong> Temzify may terminate or suspend Services immediately where:<\/p>\r\n\r\n<ul>\r\n<li>The Client breaches these Terms;<\/li>\r\n<li>Payment is overdue;<\/li>\r\n<li>The Client becomes abusive, threatening, or unreasonable;<\/li>\r\n<li>The Client requests unlawful or unethical work.<\/li>\r\n<\/ul>\r\n\r\n<p><strong>17.3<\/strong> Upon termination, all outstanding amounts for completed work shall become immediately due and payable.<\/p>\r\n\r\n<h2>18. FORCE MAJEURE<\/h2>\r\n\r\n<p><strong>18.1<\/strong> Temzify shall not be liable for any delay or failure to perform caused by circumstances beyond its reasonable control, including but not limited to:<\/p>\r\n\r\n<ul>\r\n<li>Natural disasters;<\/li>\r\n<li>Internet outages;<\/li>\r\n<li>Power failures;<\/li>\r\n<li>Cyberattacks;<\/li>\r\n<li>Government restrictions;<\/li>\r\n<li>Labour disputes;<\/li>\r\n<li>Illness;<\/li>\r\n<li>Supplier failures.<\/li>\r\n<\/ul>\r\n\r\n<h2>19. GOVERNING LAW AND JURISDICTION<\/h2>\r\n\r\n<p><strong>19.1<\/strong> These Terms shall be governed by and interpreted in accordance with the laws of the Republic of South Africa.<\/p>\r\n\r\n<p><strong>19.2<\/strong> Any dispute arising from these Terms shall be subject to the exclusive jurisdiction of the courts of South Africa.<\/p>\r\n\r\n<h2>20. ENTIRE AGREEMENT<\/h2>\r\n\r\n<p><strong>20.1<\/strong> These Terms, together with any quotation, proposal, invoice, or written agreement issued by Temzify, constitute the entire agreement between the parties.<\/p>\r\n\r\n<p><strong>20.2<\/strong> No verbal statement or representation shall vary these Terms unless confirmed in writing.<\/p>\r\n\r\n<h2>21.
